CONSTITUTION OF THE WABASH VALLEY ROAD RUNNERS CLUB
TITLE
The name of the association shall be Wabash Valley Road Runners Club, Incorporated, hereafter referred to as ‘this association’ or “this organization’.
(a) Club logo – Winged Shoe.
(b) Club Colors – Blue and yellow.
I. OBJECTIVES
(a) The prime objective of the association shall be the promotion and encouragement of long distance running/walking and the education of the public to its benefits.
(b) In furtherance of objective ‘a’, this association may hold championships, races on the road and track, lectures, fun runs, and other educational activities, demonstrations, clinics and social events; this association may print and publish books, magazines and newsletters; this association may make awards; this association may do all such other things as may be conducive to the encouragement of long distance running/walking.
(c) Other objectives are to engage in community activities, to publicize by appropriate means the benefits of long distance running/walking, and to coordinate with other agencies advocating running/walking as a means of physical fitness.
III. AFFILIATION
This Association shall be a chapter of the Road Runners Club of America (RRCA), and all measures adopted by that body must be considered by this organization.
IV. MEMBERSHIP
Individuals who wish to participate in the activities of this organization shall submit dues and an application for membership.
V. MANAGEMENT OR GOVERNMENT
(a) The management of this association shall be vested in a Board of Directors consisting of President, Vice-President, Secretary, Treasurer, Newsletter Editor, Membership Director, Events Director, Marketing Director,Web Site Administrator and two at-large directors.
(b) Duties of Directors:
(1) President: to preside over meetings, represent the association, to call any special meetings and to appoint committees and chairpersons thereof.
(2) Vice-President: to assume the powers of the president in his absence and to take on special assignments as requested by the president.
(3) Secretary: to record minutes at meetings, to keep a file of such minutes and when requested by the president, to accept assignments involving correspondence and the keeping of records.
(4) Treasurer: to administer all financial duties and to sign or disburse necessary appropriations, as directed.
(5) Newsletter Editor/Website Administrator: to make and/or prepare a newsletter and to maintain the website for the use of all members of this association.
(6) Membership Director: to maintain a list of all members in good standing, and to coordinate efforts to recruit new members.
(7) Events Director: insure all club-sponsored events are conducted in accordance within the board’s guidelines.
(8) Marketing Director: to plan and direct all marketing aspects for the organization.

(10) Two (2) At-Large Directors: to take on special assignments as requested by the board.
(c) Eligibility:
(1) Directors must be chosen from members in good standing.
(2) Directors may be elected to succeed themselves.
(d) Term of Office:
(1) Term of office shall be about one year, beginning with or at the close of the annual membership meeting.
(2) In the event of an Director’s position becoming vacant, the president in consultation with the other Directors will appoint a member in good standing to fill the remainder of the term of the Director he or she is replacing.
(3) Appointed Positions filled by the Board shall also expire at the time of the annual membership meeting.
(4) A Director who does not attend three consecutive meetings can be removed from office by the president.
(5) Directors will meet at least every other month to cover normal business.
(e) Elections: Directors shall be elected by majority vote of members present at the annual membership meeting.
(f) Procedural requirements:
(1) Parliamentary procedure will be carried on at meetings, and every effort will be made to discuss any measures coming before the group.
(2) A majority vote of the Directors present is necessary to pass ordinary measures. All measures shall be deemed ordinary except those proposing a constitutional amendment.
(3) (A) A constitutional amendment may be accomplished by a two-third (2/3) majority of the members present at a membership meeting.
(B) All members must be notified at least seven (7) days prior to voting so that constitutional amendments can be discussed and voted on.
(4) Meetings of the membership will be held at least bi-annually and more frequently if called by the president viagra hinta.
VI. Finances
(a) Dues shall be as determined by a majority vote of the Board of Directors present at a business meeting and shall not be changed more often than once per year.
(b) Monies
(1) This is non-profit organization. Dues, entry fees and other
monies received by the organization will be spent entirely for
carrying out the stated purpose of the organization.
(2) No part of the net earnings of the club shall inure to the benefit of its individuals.
(3) All monies paid out by this association shall be paid by check.
(4) All checks shall be signed by the President and the Treasurer.
(c) Members using association funds for any purpose shall give a record of expenditures to the Treasurer.
(d) This organization shall be empowered to participate in fund-raising activities.
(e) This association will not loan funds or shall it be empowered to borrow funds for any reason.
VII DISSOLUTION
In event of dissolution of this association, the funds in the treasury, after all creditors have been paid, shall go to the Road Runners Club of America or other 501(c)(3) non-profit organization in which the majority of the members present deem.
